OBJECTIVE
The company CSR Policy intends to:
- Strive for economic development that positively impacts the society at large.
- Creating an environment or contributing in facilities that help in promoting/spreading education in general.
- Embrace responsibility for the Company’s actions and encourage a positive impact through its activities on hunger, poverty, malnutrition, environment, communities, stakeholders and the society.
FOCUS AREA
In accordance with the requirements under the Section 135 of the Companies Act, 2013 read with the Rules made thereunder along with the Schedule VII, the CSR activities, amongst others, will focus on:
- protection of national heritage, art and culture including restoration of buildings and sites of historical importance and works of art; setting up public libraries; promotion and development of traditional arts and handicrafts;
- promoting education, including special education and employment enhancing vocation skills especially among children, women, elderly, and the differently abled and livelihood enhancement projects;
- promoting gender equality, empowering women, setting up homes and hostels for women and orphans; setting up old age homes, day care centres and such other facilities for senior citizens and measures for reducing inequalities faced by socially and economically backward groups;
- eradicating hunger, poverty and malnutrition, promoting preventive health care and sanitation, including contribution to the Swach bharat Kosh set up by the CG and making available safe drinking water;
- ensuring environmental sustainability, ecological balance, protection of flora and fauna, animal welfare, agroforestry, conservation of natural resources and maintaining quality of soil, air and water, including contribution to the Clean Ganga Fund;
- measures for the benefit of armed forces veterans, war widows and their dependents;
- training to promote rural sports, nationally recognised sports, Paralympics sports and Olympic sports;
- contribution to the Prime Minister's National Relief Fund or any other fund set up by the Central Government for socio-economic development and relief and welfare of the Scheduled Castes, the Scheduled Tribes, other backward classes, minorities and women;
- contributions or funds provided to technology incubators located within academic institutions which are approved by the Central Government;
- rural development projects and slum area development.
LOCATION OF CSR EFFORTS
The Board of Directors will decide on the locations for the CSR activities.
RESPONSIBILITIES OF THE BOARD TOWARDS CSR
The responsibilities of the Board towards CSR shall, inter-alia, include the following:
- To formulate and recommend to the Board, a CSR Policy which shall indicate the activities to be undertaken by the Company as per the Companies Act, 2013.
- To review and recommend the amount of expenditure to be incurred on the activities to be undertaken by the company.
- To monitor the CSR policy of the Company from time to time..
- Any other matter as may be directed by the Board of Directors from time to time.
FUNDING, SELECTION AND MONITORING PROCESS
The entity as approved by the Board will receive the funds/required materials from the Company as and when required and present the place/area of expenditure with the approval of the Board in duly convened meeting and the Board of directors are authorized to take actions and monitor the same on behalf of the Company and to do such other acts as may be necessary and will report its findings to the Board periodically.
REPORTING
The Board report of the Company shall include an annual report on CSR containing outline of the Company’s CSR policy, overview of the projects or programs undertaken or proposed to be undertaken, amount to be spent for the financial year and the amount left unspent, and other relevant information, as Board desires.
